NOTICE OF SALE
GEORGIA, CRISP COUNTY

By virtue of a power of sale contained in that certain Deed to Secure Debt and Security Agreement from GFA PEANUT COMPANY, LLC to BANK OF CAMILLA, dated December 14, 2010, and recorded in Deed Book 868, Page 115, et seq., Crisp County Deed Records, said Deed to Secure Debt having originally been given, among other items of collateral, to secure that certain Promissory Note in the original principal amount of SIX MILLION SIX HUNDRED THOUSAND and 00/100 DOLLARS ($6,600,000.00) of even date therewith given by GFA PEANUT COMPANY, LLC, GFA PEANUT ASSOCIATION, AND GFA COLD STORAGE, LLC to BANK OF CAMILLA, as well as all extensions, renewals and modifications thereof, together with any and all other indebtedness, of any type or description, then or thereafter owing by GFA PEANUT COMPANY, LLC, GFA PEANUT ASSOCIATION, AND/OR GFA COLD STORAGE, LLC to BANK OF CAMILLA, there will be sold by the undersigned, at public outcry, to the highest bidder for cash, before the courthouse door at Cordele, Crisp County, Georgia, within the legal hours of sale on the first Tuesday in June, 2022, the following described property:

TRACT 1:

PARCEL I

All that tract or parcel of land lying in or being in Land Lot 215, 10th Land District, City of Cordele, Crisp County, Georgia, and being more particularly described as follows:

Beginning at the intersection of the South right of way of Sixth Avenue and the West right of way of U.S. Hwy. No. 41 (a/k/a Eleventh Street 100’ R/W); thence South 01 degrees 43 minutes 23 seconds East for a distance of 215.50 feet along said right of way of said Hwy. 41 to a point marking the POINT OF BEGININNING; thence South 01 degrees 43 minutes 23 seconds East for a distance of 333.50 feet along said right of way of said Hwy. 41 to a point located on the North right of way of a 20’ alley; thence South 88 degrees 22 minutes 00 seconds West for a distance of 245.62 feet along said right of way said alley to a point; thence North 01 degrees 38 minutes 00 seconds West for a distance of 150.00 feet to a point; thence South 88 degrees 22 minutes 00 seconds West for a distance 150.00 feet to a point located on the East right of way of Twelfth Street (79’ R/W); thence North 01 degrees 38 minutes 00 seconds West for a distance of 182.15 feet along said right of way to a point located on the South right of way of a spur line of Norfolk and Southern Railroad; and thence North 88 degrees 10 minutes 15 seconds East for a distance of 395.10 feet along said right of way of said spur line to the Point of Beginning.

This Parcel I contains 2.504 acres according to Plat of Survey prepared by J.B. Faircloth, Georgia Registered Land Surveyor No. 2120, dated October 4, 1998, recorded on Plat Slide 29-B, Public Records, Crisp County, Georgia, which Plat is incorporated herein by reference.

PARCEL II

All that tract or parcel of land lying in or being in Land Lot 215, 10th Land District, City of Cordele, Crisp County, Georgia, and being more particularly described as follows:

Beginning at the intersection of the South right of way of Sixth Avenue (79’ R/W) and the West right of way of U.S. Hwy. No. 41 (a/k/a Eleventh Street 100’ R/W) and proceed thence South 01 degrees 43 minutes 23 seconds East for a distance of 150.00 feet along said right of way of said Hwy. 41 to a point located on the North right of way of a 20’ alley; thence South 88 degrees 22 minutes 00 seconds West for a distance of 394.99 feet along said right of way of said alley to a point; thence South 01 degrees 38 minutes 00 seconds East for a distance of 20.00 feet to a point located on the South right of way of said 20’ alley; thence South 88 degrees 22 minutes 00 seconds West for a distance of 79.00 feet along said right of way of said alley to a point; thence North 01 degrees 38 minutes 00 seconds West for a distance of 20.00 feet to a point located on the North right of way of said alley; thence South 88 degrees 22 minutes 00 seconds West for a distance of 300.00 feet along said right of way of said alley to a point; thence North 01 degrees 38 minutes 00 seconds West for a distance of 150.00 feet to a point located on the South right of way of Sixth Avenue; and thence North 88 degrees 22 minutes and 00 seconds East for a distance of 773.76 feet along said right of way of Sixth Avenue to the POINT OF BEGINNING.

This PARCEL II contains 2.701 according to Plat of Survey prepared by J. B. Faircloth, Georgia Registered Land Surveyor No. 2120, dated October 5, 1998, recorded on Plat Slide 29-C, Public Records, Crisp County, Georgia, which Plat is incorporated herein by reference.

PARCEL III

All that tract or parcel of land lying in or being in Land Lot 215, 10th Land District, City of Cordele, Crisp County, Georgia, and being more particularly described as follows:

Beginning at the intersection of the North right of way of Sixth Avenue (79’ R/W) and the East right of way of Twelfth Street (79’ R/W) and the East right of way Twelfth Street (79’ R/W) and proceed thence North 01 degrees 38 minutes 00 seconds West for a distance of 150.00 feet along said right of way of Twelfth Street to a point located on the South right of way of a 20’ alley thence 88 degrees 22 minutes 00 seconds East for a distance of 200.00 feet along said right of way of said alley to a point; thence South 01 degrees 38 minutes 00 seconds East for a distance of 150.00 feet to a point located on the North right of way of Sixth Avenue; and thence South 88 degrees 22 minutes 00 seconds West for a distance of 200.00 feet along said right of way of Sixth Avenue to the POINT OF BEGINNING.

This PARCEL III contains 0.689 according to Plat of Survey prepared by J.B. Faircloth, Georgia Registered Land Surveyor No. 2120, dated October 5, 1998, recorded on Plat Side 29-C, Public Records, Crisp County, Georgia, which Plat is incorporated herein by reference.

TRACT 2:

PARCEL I:

All of Block Number Two Hundred Sixty-five (265) in the City of Cordele, Crisp County, Georgia located between the easterly right-of-way line of Third Street and the westerly right-of-way line of Second Street and between the southerly right-of-way line of the Seaboard Coast Line Railroad (Savannah Branch) and the northerly right-of-way line of the Seaboard Coast Line Railroad (Jacksonville Branch) and the northerly right-of-way line of Eleventh Avenue, as the same is designated and shown on the Official Map of Survey of said City of Cordele, being bounded on the North by the southerly right-of-way line of the Seaboard Coast Line Railroad (Savannah Branch), on the East by the westerly right-of-way line of Second Street, on the South by the northerly right-of-way line of Eleventh Avenue and the northerly right-of-way line of the Seaboard Coast Line Railroad (Jacksonville Branch) and on the West by the easterly right-of-way line of Third Street, together with all improvements located thereon, subject to all recorded easements and rights-of-way.

PARCEL II:

That certain tract of land containing 1.435 acres located in Block Seven (7) in the City of Cordele, Georgia, and located in Land Lot Two Hundred Thirty-three (233), Tenth (10th) Land District, Crisp County, Georgia, being more particularly described as follows: To establish a point of beginning start at an iron pin located at the point of intersection of the centerline of 11th Avenue in Cordele, Georgia with the centerline of Third Street and proceed thence 93.9 feet North 1 degree 38 minutes West along the centerline of said Third Street to an iron pin located in the Northerly right-of-way line of Seaboard Coast Line Railroad (Jacksonville Branch) having fifty foot right-of-way; thence proceed 41.95 feet North 73 degrees 57 minutes West to an iron pin located in the Westerly right-of-way line of Third Street having an eight foot right-of-way, which is the POINT OF BEGINNING of the tract herein described. From said POINT OF BEGINNING, proceed thence 197.75 feet North 1 degree 38 minutes West along said Westerly right-of-way line to an iron pin located on an agreed South right-of-way line of Seaboard Coast Line Railroad (Savannah Branch); thence proceed 403.2 feet North 85 degrees 21 minutes West along said agreed line, running parallel to and at a normal distance of 50 feet from the centerline of the main line of said Railroad to an iron pin located in the Easterly right-of-way line of Fourth Street (unopened), having an eighty foot right-of-way; thence proceed 114.15 feet South 1 degree 38 minutes East along said Easterly right of way line to an iron pin located in the Northerly right-of-way line of Seaboard Coast Line Railroad (Jacksonville Branch) having a fifty foot right-of-way; thence proceed 420.7 feet South 73 degrees 57 minutes East along said Northerly right-of-way line to the iron pin marking the point of beginning of the tract herein described; all as designated and shown on Plat of Survey prepared by William A. Pryor, Georgie Registered Surveyor No. 1114, originally dated February 27, 1979 and revised May 17, 1980, recorded in Plat Record 2, page 247, in the Office of the Clerk of Superior Court of Crisp County, Georgia.

TRACT 3:

PARCEL I

All that tract or parcel of land lying and being in Land Lot Sixty Six (66), Fourteenth (14) Land District, Crisp County, Georgia, containing 7.49 acres, and being shown and delineated on Plat of Survey prepared by Early D. Raines, Georgia Registered Land Surveyor No. 1512, dated April 20, 1992, recorded in Plat Book 9, Page 107, Crisp County Records, which said Plat is incorporated herein by reference.

The bearing and distance description according to the aforesaid Plat is as follows:

To establish the Point of Beginning, commence at the point of intersection of the southerly right of way boundary of Antioch Road with easterly right of way boundary of Georgia Highway 300, and proceed thence along the Easterly right of way of Georgia Highway 300, South 33 degrees 13 minutes 59 seconds West for 1457.03 feet to a point and along a chord South 32 degrees 13 minutes 14 seconds East for 197.56 feet to the POINT OF BEGINNING. From the POINT OF BEGINNING, proceed then South 54 degrees 40 minutes 01 seconds East for 722.46 feet to a point; thence South 05 degrees 09 minutes 44 seconds East for 450.00 feet to a point; thence North 58 degrees 01 minutes 30 seconds West for 804.95 feet to a point; thence North 11 degrees 50 minutes 20 seconds East for 337.25 feet to a point; and thence along the Easterly right of way of Georgia Highway 300 in an arc having a chord with bearing of North 30 degrees 33 minutes 19 seconds East and a length of 127.34 feet for a distance of 127.35 feet to the Point of Beginning.

The above-described property is subject to an easement in favor of Crisp County Power Commission across the Eastern 50 feet of the said property as the same is shown on the aforesaid Plat.

PARCEL II

All that tract or parcel of land lying and being in Land Lot 66, 14th Land District, Crips County, Georgia containing 0.46 acres, and being more particular described as follows: To establish the point of beginning, commence at the point of intersection of the centerline of Antioch Road with the easterly right of way boundary of Georgia Highway 300 and proceed thence South 33 degrees 13 minutes 59 minutes West for 1,457.03 feet to a point and thence South 31 degrees 34 minutes 04 seconds West for 324.87 feet to the POINT OF BEGINNING. From the POINT OF BEGINNING, proceed then South 11 degrees 50 minutes 20 seconds East for 337.25 feet to a point; thence North 68 degrees 13 minutes 53 seconds West for 135.67 feet to the point; thence North 38 degrees 59 minutes 09 seconds East along the easterly right of way boundary of Georgia Highway 300 for 199.84 feet to a point; and, thence North 29 degrees 10 minutes 20 seconds East along the easterly right of way boundary of Georgia Highway 300 for 142.50 feet to the Point of Beginning.

TRACT 4:

PARCEL I

That certain tract or parcel of land aggregating five (5) acres, lying and being in Land Lot One Hundred Eighty-Six (186) in the Tenth (10th) Land District of Crisp County, Georgia, being more particularly described as follows: To establish a point of beginning, being at a point marked by an iron pin on the West right-of-way line of the Albany-Northern Railroad at its intersection with the South right-of-way line of 24th Avenue as the same extends Westward from the City of Cordele, Crisp County, Georgia, proceed South 33 degrees 00 minutes West 623 feet to an iron pin which is the POINT OF BEGINNING. From said POINT OF BEGINNING proceed South 33 degrees 00 minutes West a distance of 316.8 feet to an iron pin; then proceed South 86 degrees 03 minutes West a distance of 864.64 feet to an iron pin; then proceed North 33 degrees 17 minutes East a distance of 316.8 feet to an iron pin; thence proceed North 86 degrees 25 minutes East a distance of 872.65 feet to the Point of Beginning.

PARCEL II

That certain tract of land aggregating ten (10) acres lying and being in Land Lot One Hundred Eighty-Six (186) in the Tenth (10th) Land District of Crisp County, Georgia, being more particularly described as follows: Beginning at a point on the West right-of-way line of Albany and Northern Railroad at its intersection with the South right-of-way line of 24th Avenue, proceed South 33 degrees 00 minutes West a distance of 623 feet; thence proceed South 86 degrees 25 minutes West a distance of 872.65 feet; thence proceed North 33 degrees 17 minutes East a distance of 573.6 feet; thence proceed North 60 degrees 15 minutes East a distance of 89.2 feet; thence proceed North 87 degrees 13 minutes East a distance of 837.4 feet to said Point of Beginning.

PARCEL III

All that certain parcel or tract of land containing 10.0 acres, lying and being situate in Land Lot One Hundred Eighty-Six (186) in the Tenth (10th) Land District of Crisp County, Georgia, being more particularly described as follows: To establish a point where the Southern right-of-way of 24th Avenue West, intersects the Northwesterly right-of-way of the Albany and the Northern Railroad; thence proceed South 33 degrees 00 minutes West for a distance of 939.8 feet to the POINT OF BEGINNING of the land herein leased; thence South 33 degrees 00 minutes West a distance of 912.57 feet; thence North 56 degrees 43 minutes West a distance of 661.07 feet; thence North 33 degrees 17 minutes East a distance of 389.0 feet; thence North 86 degrees 03 minutes East a distance of 864.64 feet to the Point of Beginning.
All of the three (3) parcels described above are shown on Plat of Survey prepared by Early D. Raines, dated November 20, 1974, and recorded in Plat Book 1, page 30, Public Records of Crisp County, Georgia, which Plat shall control as to any variance herewith.

The indebtedness secured by the aforementioned Deed to Secure Debt has been and is hereby declared immediately due and payable in full because of the failure of GFA PEANUT COMPANY, LLC, GFA PEANUT ASSOCIATION, AND GFA COLD STORAGE, LLC to maintain payments upon said indebtedness owing to BANK OF CAMILLA in accordance with its terms. Said indebtedness remaining in default, this sale shall be made for the purpose of paying such indebtedness, as well as all expenses of this sale, including attorneys’ fees.
The above-described real property will be sold as the property of GFA PEANUT COMPANY, LLC, and will be sold subject to the following items which may affect the title to said property: all zoning and subdivision ordinances and/or regulations; matters which would be disclosed by an accurate survey or an inspection of the property; all real property ad valorem taxes or assessments, which may constitute liens upon said property; all liens which, under applicable law, would take priority over the Deed to Secure Debt described above; and all easements, restrictions, rights-of-way, security deeds or other encumbrances of record which have priority over the referenced Deed to Secure Debt.
To the best of the knowledge and belief of the undersigned, the parties presently in possession of said property are GFA PEANUT COMPANY, LLC, and/or a tenant or tenants.
Please be further advised that the entity which has full authority to negotiate, amend and modify all terms of the Note, Deed to Secure Debt, and related documents (with the input and approval of USDA which has issued a Guaranty with regard to said Note), is:
